1. Definitions

In these Terms and Conditions:

• "Service" or "Services" refers to AI implementation consulting, training programs, and advisory services provided by VNNew.
• "Client" or "You" refers to the individual or organization engaging our services.
• "We," "Us," or "Our" refers to VNNew.
• "Agreement" refers to these Terms and Conditions together with any service-specific terms agreed in writing.
• "Content" refers to materials, information, and guidance provided as part of our services.

2. Acceptance of Terms

By engaging our services, submitting an inquiry, or using our website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services.

3. Service Description

VNNew provides consulting, training, and advisory services related to AI implementation in educational and workplace settings. Our services include:

• AI Pathfinder Sessions: One-time consulting sessions
• Custom AI Training Programs: Multi-week training engagements
• AI Strategy and Implementation Partnerships: Ongoing advisory relationships

Specific service details, deliverables, timelines, and pricing are outlined in individual service agreements or proposals.

4. Service Engagement Process

Service engagement typically follows this process:

1. Initial inquiry or consultation request
2. Discussion of needs and service options
3. Written proposal outlining scope, timeline, and fees
4. Acceptance of proposal and payment arrangement
5. Service delivery according to agreed terms

We reserve the right to decline service requests that do not align with our expertise or values.

5. Payment Terms

Payment terms vary by service type:

• Pathfinder Sessions: Full payment due before session
• Custom Training Programs: 50% deposit to begin, remainder upon completion
• Partnership Engagements: Monthly billing in advance

All fees are quoted in Vietnamese Dong (VND). Payment can be made via bank transfer or other methods as agreed. Late payments may incur additional charges as specified in individual agreements.

6. Cancellation and Refund Policy

Cancellation policies vary by service:

• Pathfinder Sessions: Cancellations made more than 7 days before the scheduled session receive full refund. Cancellations within 7 days are not refundable but may be rescheduled once.
• Training Programs: Deposits are non-refundable once program design begins. Clients may cancel after program start with prorated refund for undelivered modules.
• Partnerships: Either party may terminate with 30 days written notice. No refund for current month already paid.

We reserve the right to cancel or reschedule services due to unforeseen circumstances, in which case full refunds will be provided.

7. Client Responsibilities

Clients agree to:

• Provide accurate information about their needs and context
• Make relevant personnel available for consultations and training
• Implement recommendations at their own discretion and responsibility
• Respect intellectual property rights in materials provided
• Maintain confidentiality of proprietary methods shared during engagements
• Provide timely feedback to facilitate effective service delivery

8. Intellectual Property

Our Materials: All materials, frameworks, and methodologies developed by VNNew remain our intellectual property. Clients receive a limited license to use materials provided during their engagement for internal purposes only.

Client Materials: All materials, data, and information provided by clients remain the client's property. We may use anonymized examples from client engagements for training or marketing purposes with prior approval.

Clients may not reproduce, distribute, or commercialize our materials without written permission.

9. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as required by law or with explicit consent. This confidentiality obligation continues after service completion. Clients similarly agree to maintain confidentiality regarding our proprietary methods and materials.

We may sign separate non-disclosure agreements when requested by clients with specific confidentiality requirements.

10. Disclaimers

No Guaranteed Results: While we provide guidance based on experience and best practices, we cannot offer specific outcome promises. AI implementation success depends on many factors beyond our control, including organizational context and execution quality.

Services Provided "As Is": Our services are provided on an "as is" basis. We make no warranties, express or implied, regarding service outcomes or fitness for particular purposes.

Not Professional Liability Advice: Our guidance does not constitute legal, financial, or other professional advice. Clients should consult appropriate professionals for such matters.

11. Limitation of Liability

To the maximum extent permitted by law, VNNew's total liability arising from or related to services provided shall not exceed the fees paid by the client for those specific services. We shall not be liable for indirect, incidental, consequential, or special damages, including lost profits or data.

This limitation applies regardless of the legal theory on which liability is based and even if we have been advised of the possibility of such damages.

12. Indemnification

Clients agree to indemnify and hold harmless VNNew from claims, damages, or expenses arising from their use of our services or implementation of recommendations, except where such claims result from our gross negligence or willful misconduct.

13. Termination

Either party may terminate services as outlined in service-specific cancellation policies. Upon termination, clients remain responsible for payment of services rendered through the termination date. Confidentiality obligations continue after termination.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of Vietnam.

Informal Resolution: In the event of any dispute, the parties agree to first attempt resolution through good-faith discussion.

Jurisdiction: If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Hanoi, Vietnam.

15. General Provisions

Entire Agreement: These Terms, together with any service-specific agreements, constitute the entire agreement between parties regarding our services.

Severability: If any provision is found unenforceable, remaining provisions continue in full effect.

Waiver: Failure to enforce any provision does not constitute waiver of that provision.

Assignment: Clients may not assign their rights or obligations without our written consent.

16. Changes to Terms

We may update these Terms periodically. Changes become effective upon posting to our website. Continued use of services after changes constitutes acceptance of updated Terms. We will notify clients of material changes via email when feasible.
